GRT - Growthpoint Properties Limited - change in major linked unitholder Growthpoint Properties Limited (Incorporated in the Republic of South Africa) Registration number 1987/004988/06 JSE share code: GRT & ISIN: ZAE000037669 ("Growthpoint" or "the Company") CHANGE IN LINKED UNITHOLDING Growthpoint linked unitholders are referred to the announcement of Investec Limited and Investec plc (together "Investec") released on SENS on 6 November 2007, in which it was announced that Investec had facilitated the disposal of 200 million Growthpoint linked units to the Public Investment Corporation Limited, on behalf of the Government Employees Pension Fund ("PIC") for a consideration of 1700 cents per linked unit. As a result of this transaction the PIC will increase their linked unitholding in Growthpoint by 17.06% before the claw-back offer as explained below and 15.72% of Growthpoint after the claw-back offer. Growthpoint linked unitholders are also referred to the Growthpoint announcement released on SENS on Friday 2 November 2007 confirming that the claw-back offer of 100,000,000 (one hundred million) new linked units ("claw- back units"), at an issue price of 1650 cents per linked unit ("the issue price") had been registered by the Registrar of Companies and would be implemented in accordance with the timetable as set out in this announcement. The claw-back offer has effectively been underwritten by the PIC and depending on the extent to which Growthpoint linked unitholders follow their rights to take up their entitlement to the claw-back units at the issue price, the PIC could increase their linked unitholding in Growthpoint by up to a further 7.86%.
