FULFILLMENT OF CONDITIONS PRECEDENT                                             
Shareholders are referred the announcement released on SENS on 21 November 2006 
regarding the acquisition by Group Five of Quarry Cats (Proprietary) Limited,   
and are hereby advised that the only remaining condition precedent, being the   
approval of the Competition Authorities, has been fulfilled and accordingly the 
acquisition is now unconditional and of full force and effect.
