Cautionary Announcement                                                         
Shareholders are advised that MTN has entered into negotiations, which if       
successfully concluded may have a material effect on the price of MTN"s         
securities.                                                                     
These negotiations and consequently this cautionary announcement do not relate  
to the negotiations referred to in the cautionary announcements released on SENS
by MTN on 19 September 2005 and updated on SENS today, 20 October 2005,         
regarding the potential investment in Irancell.                                 
Accordingly, shareholders are advised to exercise caution when dealing in their 
MTN securities until a further announcement is made.
