On 5 April 2005, The Armchair Trust, of which Mr Allan Groll is a trustee and   
beneficiary, reached agreement with Trematon to dispose of 850 000 linked units 
in Spearhead Property Holdings Limited to Trematon upon fulfillment of certain  
conditions precedent.  The conditions precedent were fulfilled on 18 July 2005. 
The disposal consideration was satisfied by the issue of 33 227 272 Trematon    
shares at 55 cents per share.
