NO CHANGE STATEMENT AND NOTICE OF AGM                                           
Further to the publication of the detailed results announcement on the          
Securities Exchange News Service ("SENS") on 19 April 2004 of PSG Group"s       
audited results for the year ended 29 February 2004, PSG Group advises that its 
2004 annual report, which incorporates the audited annual financial statements  
for the period, is being dispatched to shareholders today, and contains no      
changes from the SENS announcement.                                             
Notice is hereby given that the annual general meeting of shareholders will be  
held at the Protea Hotel Stellenbosch, Techno Avenue, Techno Park, Stellenbosch,
on Friday 18 June 2004 at 12h00 to transact the business set out in the notice  
of the annual general meeting, which is contained in PSG Group"s 2004 annual    
report.
