CHANGES TO THE BOARD OF DIRECTORS                                               
In accordance with paragraph 3.59 of the Listings Requirements of the JSE       
Securities Exchange South Africa, the company advises as follows:               
The board of directors has decided, in line with corporate governance best      
practice, that the number of executive directors vis-a-vis non-executive        
directors be changed. Accordingly, Messrs W M A Buchanan, R L Hetzler and G D   
Knox are to step down as directors of the company with effect from 1 April 2004.
All the abovementioned directors will continue to hold senior positions within  
Illovo Sugar and Mr Knox will continue in his role as company secretary.
