DECLARATION OF FINAL DIVIDEND AND INTEREST PAYMENT FOR THE YEAR ENDED           
30 JUNE 2003                                                                    
   Growthpoint linked unitholders are referred to the announcement published in 
the press on Monday, 4 August 2003 informing Growthpoint and Primegro Properties
Limited ("Primegro") linked unitholders that a distribution would be made by    
Growthpoint to Growthpoint linked unitholders for the two-month period ended    
30 June 2003 and that Primegro has declared a liquidation distribution of 1,2162
Growthpoint linked units per Primegro linked unit held ("the Primegro           
liquidation distribution"). Following the Primegro liquidation distribution,    
Primegro linked unitholders will hold Growthpoint linked units directly and     
accordingly will be entitled to the Growthpoint distribution.                   
The distribution date of the Primegro liquidation distribution is Monday, 25    
August 2003 from which date Primegro linked unitholders will be recorded on the 
Growthpoint linked unit register.                                               
Notice is hereby given of final dividend declaration number 33 of 0,01184 cent  
and debenture interest payment number 33 of 11,83816 cents per Growthpoint      
linked unit for the two-month income distribution period 1 May 2003 to 30 June  
2003.                                                                           
The total amount payable to Growthpoint linked unitholders amounts to 11,85     
cents ("the final distribution") per Growthpoint linked unit which brings the   
total distribution for the year ended 30 June 2003 to 66,55 cents per           
Growthpoint linked unit. The final distribution will be paid to Growthpoint     
linked unitholders in accordance with the timetable set out below:

No dematerialisation or rematerialisation of Growthpoint linked unit            
certificates may take place between Monday, 25 August 2003 and Friday, 29 August
2003, both days inclusive.                                                      
These dates are subject to change at the instance of Growthpoint and any such
changes will be published on SENS and in the press on or before Friday, 15      
August 2003.                                                                    
   Even though the Primegro liquidation distribution will be made after the last
day to trade in order to participate in the final distribution, in terms of     
arrangements made with the transfer secretaries, the Growthpoint linked units   
distributed for the Primegro liquidation distribution will still qualify for,   
and participate in, the final distribution, which will be paid to those linked  
unitholders to whom the Primegro liquidation distribution is made.
