Shareholders are advised that Howden Africa Holdings Limited has sold its wholly
owned subsidiary, Hertz Technologies (Pty) Limited which manufactures electric  
motors, to Mandlakazi Engineering Holdings (Pty) Limited.                       
Mandlakazi is an empowerment business and will be in a good position to bring   
benefits to the Hertz operations.                                               
The transaction is with effect from 5th May 2003.
