Results of general meeting                                                      
At the general meeting of Petmin held on Friday, 31 January 2003, the resolution
proposed whereby Petmin reduce its share premium account by 126,5 cents per     
share and pay out the proceeds in cash to shareholders in terms of section 90 of
the Companies Act, 1973, as amended, was unanimously approved by all the        
shareholders present in person or by proxy.                                     
Further, all resolutions proposed at the Annual General Meeting on the same day 
were unanimously approved by the same majority of shareholders.

Last day to trade ("Cum" the payment)   Friday, 7 February                      
in order to participate in the payment                                          
Trade in the Petmin shares will         Monday, 10 February

Withdrawal of cautionary                                                        
As the requisite majority of shareholders passed the resolution to reduce the   
Company`s share premium account and pay out the proceeds to shareholders, the   
cautionary announcement dated 17 December 2002 is hereby withdrawn.
