ANNOUNCEMENT                                                                    
The Board of Directors of Howden Africa Holdings Limited would like to advise   
the shareholders that The Howden Africa Holdings Limited Employees Share Trust  
has disposed of 3,120,150 shares (4.75%) in Howden Africa Holdings Limited to   
Howden Group South Africa (Pty) Limited, who prior to the purchase held 46.17%, 
which was in order to comply with Section 20.9 of the Listing Requirements of   
the JSE Securities Exchange South Africa.
