Result of general meeting and withdrawal of cautionary announcement             
1.   Result of general meeting                                                  
     Further to the announcement dated 18 October 2002, Growthpoint linked      
     unitholders are advised that:                                              
     - at the general meeting held on Thursday, 5 December 2002, the resolution 
necessary to implement the acquisition by Growthpoint of a portfolio of    
     listed linked units in property loan stock companies and listed units in   
     property unit trusts from Sentinel Mining Industry Retirement Fund and Mine
     Employees Pension Fund ("the acquisition") was unanimously passed by the   
Growthpoint linked unitholders present or represented thereat; and         
     - the 93 750 979 new Growthpoint linked units to be issued pursuant to the 
     acquisition will be listed on the JSE Securities Exchange South Africa     
     ("the JSE") with effect from Tuesday, 17 December 2002.                    
2.   Withdrawal of cautionary announcement                                      
     Growthpoint linked unitholders are referred to the cautionary announcement 
     published together with the announcement referred to in paragraph 1 above  
     and are advised that caution is no longer required when dealing in their   
Growthpoint linked units on the JSE.
