ILLOVO SUGAR LIMITED - DEALING IN SECURITIES BY DIRECTOR

Pursuant to paragraph 3.72 of the Listings Requirements, the following          
should be noted:                                                                
1. On 29 August 2002, in terms of the Illovo Sugar 1992 Share Option            
Scheme, Mr G J Clark, a director of our Company, was allotted and issued        
43 300 ordinary shares in the capital of Illovo Sugar Limited for cash          
at R4,35 per share;and                                                          
2. On 30 August 2002, Mr Clark sold all of such shares at a price of R7,        
65 per share.                                                                   
Nature of Transaction : Allotment of shares.
