Standard Corporate and Merchant Bank is authorised to announce that a special resolution will be proposed at the annual general meeting of Stanbic to be held on Tuesday, 21 May 2002, to change the name of the company from Standard Bank Investment Corporation Limited to Standard Bank Group Limited. The proposed change of name of the company is to better reflect its current position and to bring the name into line with market trends.
The change of name of the company will require certificated holders of ordinary and preference shares in Stanbic to surrender their share
certificates in order to receive new certificates, at no charge, reflecting the new name of the company. A circular, including a form of surrender, will be sent to holders of ordinary and preference shares in Stanbic once the approval of Stanbic's ordinary shareholders for the change of name has been obtained.

surrendered together with surrender forms on or before
the close of business on the record date, new share
certificates will be mailed to such shareholders by
registered post on Tuesday, 18 June The effective date of the change of the statutory name of the company will be Monday, 3 June 2002. Stanbic share certificates (in old name) may not be dematerialised or rematerialised after Friday, 31 May 2002.
