NOTIFICATION OF CHANGE OF EXTERNAL AUDITOR

The Board of Directors of Grindrod Bank Limited (the “Bank”) wishes to inform bondholders of the
appointment of KPMG Incorporated (“KPMG”) as the external auditors of the Bank with effect from 28
September 2023, being the date that approval from the Prudential Authority of the South African Reserve
Bank had been obtained, and the simultaneous termination of the services of SNG Grant Thornton as
external auditors. The lead audit partner from KPMG will be Mr Pierre Fourie.

The change in auditors is to align with our parent company, African Bank Limited.

These changes have been made following all requisite regulatory approvals.
