PUBLICATION OF 2018 ANNUAL FINANCIAL STATEMENTS OF MTNH

Noteholders are advised that the company and group Annual Financial Statements of MTNH, and its
guarantor MTN Group Limited (“MTN Group”) for the year ended 31 December 2018 (“the AFS”) have
been published on the website of MTN Group. SizweNtsalubaGobodo Grant Thornton Inc. have
expressed an unqualified audit opinion on the MTNH company and group Annual Financial
Statements.

MTNH adopted the new accounting standard, IFRS 15 Revenue from Contracts with Customers (“IFRS
15”), with effect from 1 January 2018 and restated its 2017 results as required by IFRS 15. In addition,
MTNH voluntarily changed its accounting policy and reclassified:

- Dividends paid to equity holders of the company and non-controlling interests from cash flows
  from operating activities to cash flows from financing activities.

- Interest paid in the group’s head office treasury function from cash flows from financing activities
  to cash flows from operating activities.

The changes made to cash flows from operating activities will result in a more appropriate view of the
cash flows from earnings for the period and align with the internal presentation of cash flows used to
manage the business and for performance management purposes. The 2017 results have been
restated accordingly.
