CHANGE TO THE BOARD OF CAPITEC BANK

In accordance with paragraph 6.39 of the JSE Limited Debt
Listings Requirements, noteholders are advised of the
following change to the board of Capitec Bank:

Ms CH Fernandez has stepped down from the board of Capitec
Bank effective 29 November 2022. She remains a director of
Capitec Bank Holdings Limited (“Capitec”), Capitec Bank’s
holding company. The change is aimed at ensuring that the
boards of the two companies are no longer identical.

Following Ms Fernandez’ retirement from the board of Capitec
Bank, Capitec Bank’s audit committee comprises Messrs JP
Verster and SA du Plessis and Ms TE Mashilwane.
