CHANGE IN DIRECTOR’S RESPONSIBILITIES

Shareholders are referred to the announcement released on SENS on 14 October 2020 whereby
shareholders were advised that Mr Solly Mboweni would step down as Chief Executive Office
(“CEO”) of Transcend with effect from 1 January 2021, in order to fulfil another role within the
International Housing Solutions South Africa group, and would assume the role of a non-executive
director of Transcend, and Mr Myles Kritzinger, the current Chief Financial Officer (“CFO”), would
be appointed as the new CEO.

In terms of paragraph 3.59(c) of the JSE Listings Requirements (“Listings Requirements”),
Transcend advises that Mr Myles Kritzinger will assume the role of both CEO and Chief Financial
Officer (“CFO”) with effect from 1 January 2021, until such time as a suitable candidate is appointed
as the CFO of Transcend.

The Listings Requirements require that issuers appoint a CEO and a full-time financial director. The
JSE has however granted Transcend a dispensation to allow Mr Myles Kritzinger to assume the role
of both CEO and CFO until 30 April 2021.
