DISCLOSURE OF CHANGES IN SECURITIES IN TERMS OF SECTION 122 OF
THE COMPANIES ACT


Shareholders are referred to the SENS announcements dated 6

July 2015 and 21 July 2015 respectively in which it was

disclosed that a vendor consortium of Torre shareholders would

sell their Torre shares to the Company, in exchange for the

settlement of Stellar Capital shares such that Stellar Capital

would own 34.62% of Torre ('Torre Acquisition'). The below

disclosures are as a result of the implementation of the Torre
Acquisition.


In accordance with section 122(3)(b) of the Companies Act, No.

71 of 2008, as amended (the 'Act'), and paragraph 3.83(b) of

the Listings Requirements of the JSE Limited, shareholders are

hereby   advised  that   the   Company  has   received  formal

notification in the prescribed form of the following movement
in the securities of the Company:


-   Asgard Capital Assets Limited has acquired Stellar Capital

    shares resulting in an increase of its interest in the

    securities of the Company to 19.89% of total ordinary
    issued securities;

-   SJP Capital Limited has acquired Stellar Capital shares

    resulting in an increase of its interest in the securities

    of the Company to 15.21% of total ordinary issued
    securities;

-   VRE Investment (Pty) Ltd has decreased its interest in the

    securities of the Company to 5.67% of total ordinary

    issued securities by way of dilution due to the Torre
    Acquisition; and

-   Wikalox Investment (Pty) Ltd has decreased its interest in

    the securities of the Company to 2.23% of total ordinary

    issued securities by way of dilution due to the Torre
    Acquisition.


As required in terms of section 122(3)(a) of the Act, the

Company has filed the required notice with the Takeover
Regulation Panel.
