UPDATE ON DIVESTMENT OF ENX’S SOUTHERN AFRICAN MATERIALS HANDLING BUSINESS
Shareholders are referred to the announcement released by enX on SENS on 30 September 2021 regarding the
conclusion of binding heads of terms with CFAO South Africa in relation to the divestment of EIE Group for an
aggregate consideration of R700 million (the “initial announcement”). The terms defined in the initial announcement
bear the same meaning as in this announcement, where appropriate.
Shareholders are advised that on 29 November 2021:
- enX, CFAO South Africa and EIE Group concluded the subscription agreement; and
- enX and EIE Group concluded an agreement regarding the share repurchase,
to give effect to the proposed transaction subject to the completion of the remaining conditions precedent detailed in the
initial announcement.
The category 1 transaction circular in respect of the proposed transaction is well advanced and it is anticipated that a
circular setting out full details of the proposed transaction will be distributed to shareholders on or about
15 December 2021. The salient dates and times relating to the proposed transaction will be released on SENS and
published in the press at the time of the posting of the circular.
