PROPOSED SCHEME OF ARRANGEMENT: RESULTS OF SCHEME MEETING                       
The board of directors of Kingco wishes to advise shareholders that at the      
scheme meeting of Kingco held on Tuesday, 29 September 2009 ("the scheme        
meeting"), the scheme of arrangement ("the scheme") proposed by Pocot Trust to  
the shareholders of the company (other than Pocot Trust) was approved by 99.51% 
of scheme members present in person/represented by proxy and entitled to vote at
the scheme meeting.                                                             
The implementation of the scheme remains conditional upon the sanctioning       
thereof by the South Gauteng High Court (Johannesburg) and the registration of  
the Order of Court by the Registrar of Companies in Pretoria.                   
A further announcement notifying scheme members of the outcome of the court     
hearing to sanction the scheme will be released on SENS and published in the    
press.
