CHANGES TO THE GROUP BOARDS AND COMMITTEES


Retirement of Mr Vuyisa Nkonyeni from the Group Boards and Committees

In compliance with paragraph 3.59 of the JSE Limited (“JSE”) Listings Requirements
and paragraph 6.39 of the JSE Debt Listings Requirements, and as indicated in the
Group’s 2022 Integrated Report published in September 2022, shareholders and
noteholders are advised that, having reached a nine-year tenure, Mr Vuyisa Nkonyeni
has retired as a director on the boards of MMH and MML and as chair of the Group’s
Investments and member of Risk, Capital and Compliance committees, effective
24 November 2022.

Furthermore, the Group Boards would like to announce the following committee
appointments in order to expand the skills set of the respective board committees:

Appointment of Mr Nigel John Dunkley as a member of the Group’s Investments Committee

The Group is pleased to announce the appointment of Mr Nigel John Dunkley as a member
of the Group’s Investments Committee and as chair of this committee, following
Mr Nkonyeni’s retirement, with effect from 24 November 2022. Mr Dunkley is an
existing independent non-executive director of MMH and MML, and a member of the
Group’s Audit, Remuneration and Risk, Capital and Complance committees.

Appointment of Ms Linda de Beer as a member of the Group’s Remuneration Committee

The Group is pleased to announce the appointment of Ms Linda de as a member of the
Group’s Remuneration Committee, with effect from 24 November 2022. Ms de Beer is an
existing independent non-executive director of MMH and MML, and chair of the Group’s
Audit Committee. She is also a member of the Group’s Nominations and Risk, Capital
and Compliance committees.
