Voluntary Announcement: R40 million Senior Unsecured Loan Facility


The board of directors of UsPlus ("the Board") is pleased to announce that on 26 November 2025 UsPlus
entered into a bilateral loan agreement ("the Agreement") with Regive Capital Proprietary Limited ("Regive
Capital"), acting as fund manager for the Soweto Private Debt Fund en Commandite Partnership ("Soweto
Fund") and the Gugulethu Private Equity Fund of Funds en Commandite Partnership ("Gugulethu Fund") ("the
Lenders").

Under the terms of the Agreement, UsPlus has, subject to the fulfilment or waiver of certain suspensive
conditions, secured a combined R40 million senior unsecured loan facility from both Funds, ranking pari passu
with other senior unsecured indebtedness.

The suspensive conditions, which must be fulfilled or waived within 30 days of the signature date failing which
the Agreement will not come into effect, include the satisfactory completion of the Lenders' due diligence, and
approval by the Lenders' investment committees and trustees.

The facility carries a fixed interest rate of 15% per annum and a 36-month loan term.
