CHANGE TO BOARD OF DIRECTORS, CHANGE AND APPOINTMENTS OF FUNCTIONS AND
WITHDRAWAL OF NOTICE OF DEMAND FOR MEETING OF SHAREHOLDERS


CHANGE TO BOARD OF DIRECTORS

In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors
of enX (“the Board”) hereby notifies its Shareholders that, with effect from 3 July 2020:

 -   Oyama Mabandla has been appointed as a non-executive director of the Company

     Oyama joined the Johannesburg Bar as a practising advocate in January 1999, after working as
     an investment banker for the Union Bank of Switzerland. He was then headhunted by South
     African Airways as general counsel, later becoming the Deputy CEO of the airline. He has held
     various positions during his career, including board chairperson at both Vodacom Group Limited
     and Consol Glass Proprietary Limited; director of Group Five Limited and Mvela Group Limited;
     and as a member of the JP Morgan African Advisory Board.

 -   Zolani Kgosietsile Matthews has been appointed as an independent non-executive director of the
     Company

     Kgosie is currently a non-executive director of Zarclear Holdings Limited and chairman of the
     Ports Regulator of South Africa. He previously served as a non-executive director on the board
     of the South African Post Office and was a member of their audit and risk committee. He was also
     previously involved as a trustee on the board of trustees of the South African Post Office
     Retirement Fund, acted in the capacity of chairperson of the Postbank Committee and is the
     managing director of Valhalla Holdings. He was previously, inter alia, the executive chairperson
     of Imvulu Group in Johannesburg, managing director of Fordworks and Associates in New York,
     senior manager at Armscor in Pretoria, vice chairperson at Washington Strategic Consulting
     Group Inc. in Washington DC, as well as the director of state and local government affairs at
     America Express in New York.

 -   Warren Chapman has been appointed as a non-executive director of the Company.

     Warren is the Chief Executive Officer of Zarclear Holdings Limited and Zarclear Proprietary
     Limited. He is also an executive director at Legae Peresec Holdings Proprietary Limited. Prior to
     joining Zarclear, he was the Managing Director at Peregrine Securities where he spent over 19
     years.

 -   Andrew James Hannington has been appointed as an executive director of the Company.

     Andrew was previously CEO of Grant Thornton in Johannesburg, and prior to that CEO and
     National Chairman of PKF. He was a member of the South African Institute of Chartered
     Accountants Senior Partners Committee and during his career acted as the reporting accountant
     on several JSE listings. He serves as an executive director of Zarclear Holdings Limited and a
     non-executive director of Texton Property Fund Limited. Andrew is currently an independent
     corporate consultant and in addition, advises a number of non-profit organisations in the
     environmental, religious and education sectors.

The appointments to the Board reflect the Company’s continuing commitment to enhancing the diversity
of the Board together with the extensive expertise available to the Board. The Board welcomes Oyama,
Kgosie, Warren and Andrew and looks forward to their contributions to the Company.

CHANGE AND APPOINTMENTS OF FUNCTIONS

Mr Paul Baloyi, currently a non-executive director, has been appointed as Chairperson of the Board.

Kgosie has been appointed as a member of the Audit and Risk Committee.

Both Warren and Oyama have been appointed as members of the Social and Ethics Committee.

WITHDRAWAL OF NOTICE OF DEMAND FOR MEETING OF SHAREHOLDERS

Shareholders are referred to the announcements released on the JSE Stock Exchange News Service
on 28 May 2020 in which shareholders were advised that MCC Contracts (Pty) Ltd (‘’MCC Contracts’’)
acquired 32.44% of enX’s total issued shares and on 9 June 2020, that the Board received
correspondence from MCC Contracts requiring the Board to call a shareholders meeting in terms of
section 61(3) of the Companies Act no. 71 of 2008, as amended, to consider various resolutions
regarding changes to the Board.

Following the abovementioned appointments, the notice of demand for the meeting of shareholders by
MCC Contracts has been withdrawn.
