RENEWAL OF CAUTIONARY ANNOUNCEMENT


Shareholders   are   referred   to   the   detailed   cautionary
announcement released on SENS on 7 November 2013 and are advised
that:

  (i)     the terms of the proposed rights offer are still being
          finalised;
  (ii)    negotiations in respect of the acquisition of a number
          of growth assets from Escalator Capital as well as
          other non-related parties are still in progress; and
  (iii)   the purchaser of the manufacturing assets to be
          disposed    of   has   completed   its  due   diligence
          investigation and has notified JDH of its intention to
          proceed with the acquisition subject to:
          (a) the conclusion of an amendment to the disposal
              agreement providing for:
                -    a reduction in the purchase price from R6
                     million to R5 million; and
                -    additional warranties to the benefit of the
                     purchaser,
               which amended agreement was signed on 20 December
               2013; and
          (b) the fulfillment of the remaining conditions
               precedent.

Shareholders are accordingly advised to continue to exercise
caution when dealing in the Company’s securities until such time
as a full announcement detailing the terms of the rights offer
and the proposed acquisitions and advising of the fulfillment of
the remaining conditions precedent in respect of the proposed
disposal has been made.
