CHANGE TO THE BOARD

Debtholders are advised that Mr Peter Kruger has resigned as an executive director of Premium
Properties with effect from 30 June 2022.

Mr Kruger’s resignation follows his retirement as executive director of City Property Administration
(Pty) Limited, the property and asset manager of Octodec Investments Limited (the sole shareholder
and guarantor of Premium Properties).

The board of directors (“the Board”) extends its sincere gratitude to Mr Kruger for his significant and
invaluable contribution, leadership, expansive property experience and guidance since his
appointment in July 2015 and wishes him the best in his future endeavours.

In accordance with the Octodec Investments Limited (“Octodec”) Board Charter, the process for the
appointment of new directors in Premium Properties, is overseen by the Octodec Nominations
Committee (“the Nominations Committee”).

The Nominations Committee has identified Mr Louis Pieter van Breda, the Chairman of the Octodec
Group Audit Committee, to succeed Mr Kruger. Following the performance of a fit and proper
assessment by the Nominations Committee, it has concluded and considers Mr van Breda as a suitable
replacement because his appointment will, inter alia, bolster the independence of the Premium
Properties board.

Noteholders are advised that Mr van Breda has been appointed as an independent non-executive
director of Premium Properties with effect from 1 July 2022.

Mr van Breda, CA (SA), has sector knowledge and experience in construction and real estate,
manufacturing and engineering, aerospace and defence, and mining and metals. He is currently the
independent chairman of the Audit Committees of Nkomati Nickel and ARM Coal (joint ventures of
African Rainbow Minerals). Prior to his retirement, he was a senior assurance partner at Ernst & Young
for over 30 years. Mr van Breda is currently an independent non-executive director of Octodec, the
chairman of the group Audit Committee as well as a member of the Risk Committee.

The appointment of Mr van Breda has been made pursuant to the policy dealing with the nomination
of directors.

The board of directors would like to welcome Mr van Breda and looks forward to his continued
contribution at Premium Properties.
