CHANGES TO THE BOARD – RESIGNATIONS AND APPOINTMENTS OF DIRECTORS


In compliance with paragraph 6.39 of the Debt Listings Requirements of JSE Limited, the board of
directors of TUHF Urban Finance (“the Board”) hereby notifies Noteholders of the following changes to
the Board with effect from 29 March 2023:

-   Mr Paul Neville Geoffrey Jackson has resigned as an executive director following the strategic
    business review and consolidation of directors within the securitisation finance vehicles of the TUHF
    Holdings Limited group (“TUHF”).

-   Ms Rishendrie Thanthony has resigned as an independent non-executive director following her
    promotion to Managing Director of TMF Group (“TMF”), Qatar.

    The Board wishes to thank Mr Jackson and Ms Thanthony for their invaluable contribution to TUHF
    Urban Finance and wishes them well in their future endeavours.

-   Ms Ilona Loretta Roodt, an alternate director to Mr Jackson, has resigned as such and has been
    appointed as an executive director.

    Ms Roodt is a Chartered Accountant and holds a B. Com in Accounting, Auditing and Commercial
    Law and a Higher Diploma in Tax. She has also completed an International Housing Finance
    Program with Wharton Business School, Pennsylvania, USA and a Property Development
    Programme with the South African Property Owners Association. Additionally, Ms Roodt has a
    qualification in Mortgage Finance from the Wits Business School and has passed the JSE
    Compliance Officer Rules Exam.

    Ms Roodt is the Chief Financial Officer of TUHF. Her role includes financial reporting, policy
    development and implementation, treasury and risk management, governance and regulatory
    compliance. Before joining TUHF, she held the positions of Financial Manager at Standard Bank
    Property Finance & Advisory services, Portfolio Manager at Rand Merchant Bank (a Division of First
    Rand Bank Limited) and Credit Manager and Corporate & International Credit at Nedcor Bank.

    The Board looks forward to Ms Roodt’s continued contribution to TUHF Urban Finance in her new
    role.

-   Ms Rozanne Kamalie has been appointed as an independent non-executive director.

    Ms Kamalie is an admitted attorney and conveyancer and holds an LLB degree from the University of
    Western Cape and Compliance Management qualifications from the University of Cape Town and the
    Compliance Institute of South Africa.

    After having completed her articles, Ms Kamalie continued to practice law, managing civil litigation,
    deceased estates and conveyancing departments until 2014. She worked for Barclays Africa Group
    Limited (now ABSA Bank) as a KYC & AML Compliance Officer. Ms Kamalie commenced her journey
    with TMF in September 2017 as a transaction manager within the Corporate Finance division. She
    has worked extensively in Capital Market Services and in July 2022, was promoted to CMS Structure
    Finance Manager.

    The Board welcomes Ms Kamalie and looks forward to her contribution to TUHF Urban Finance.
