ABSA GROUP AND ABSA BANK – UPDATES TO RESPECTIVE RISK FACTORS AND OTHER
DISCLOSURES SCHEDULE RELATING TO DOMESTIC MEDIUM TERM NOTE PROGRAMMES

Noteholders are advised of the updates to the Risk Factors and Other Disclosures Schedules dated
2 December 2022 relating to each of the Absa Group Limited ZAR50,000,000,000 Domestic Medium Term Note
Programme and Absa Bank Limited ZAR90,000,000,000 Domestic Medium Term Note Programme.

Noteworthy changes made to Absa Group’s Risk Factors and Other Disclosures Schedule are as follows:

•   updating the section headed “Description of the Issuer” to inter alia include relevant disclosure on the
    changes to the composition of the board of directors of Absa Group since the date of publication of the
    last Risk Factors and Other Disclosures Schedule (dated 3 September 2021);
•   revisions to the section headed “Risk Factors” to update certain risk factors;
•   amendments to the section headed “Exchange Control” section to align with current regulation;
•   revisions to the section headed “Subscription and Sale” to update the description of certain restrictions on
    the offering, sale and delivery of Notes and distribution of the Programme Memorandum relating to the
    Absa Group Limited ZAR50,000,000,000 Domestic Medium Term Note Programme.

Noteworthy changes made to Absa Bank’s Risk Factors and Other Disclosures Schedule are as follows:

•   Updating the section headed “Description of the Issuer” to inter alia include relevant disclosure on the
    changes to the composition of the board of directors of Absa Bank since the date of publication of the Risk
    Factors and Other Disclosures Schedule (dated 3 September 2021);
•   revisions to the section headed “Risk Factors” to update certain risk factors;
•   amendments to the section headed “Exchange Control” section to align with current regulation;
•   revisions to the section headed “Subscription and Sale” to update the description of certain restrictions on
    the offering, sale and delivery of Notes and distribution of the Programme Memorandum relating to the
    Absa Bank Limited ZAR90,000,000,000 Domestic Medium Term Note Programme.
