AMENDED AND RESTATED PROGRAMME MEMORANDUM
In accordance with Rule 6.56(b)(vii) of the Debt Listings Requirements we hereby confirm that, at the
Noteholder meeting held on Wednesday 27 September 2023, the requisite majority of Noteholders
approved the amendment of the Amended and Restated Programme Memorandum (2017) by the
adoption of the First Supplement in accordance with the below resolutions:
Special Resolution No. 1 – Amendment of the Programme Memorandum
RESOLVED THAT consent be, and it is hereby, given for the amendment of the Programme
Memorandum by the adoption of the First Supplement attached as Annexure 2 to this Notice.
Special Resolution No. 2 – Amendment of the Security Trust Deed
RESOLVED THAT, subject to the passing of Special Resolution No. 1, consent be, and it is hereby,
given for the amendment of the Security Trust Deed by the execution of the draft Addendum
attached as Annexure 3 to this Notice.
