FTSE/JSE note the announcement by Capital & Counties Properties (South Africa, GB00B62G9D36,
FTSE/JSE Mid Cap) relating to the all share merger with Shaftesbury (UK, GB0007990962, FTSE
Russell Universe member). In the transaction, Shaftesbury shareholders will receive 3.356 new Capital
& Counties Properties shares for each share held and the combined company is expected to be
renamed Shaftesbury Capital shortly thereafter.
In accordance with section 4.10.5. of the Corporate Action and Events Guide, a merger will be applied
intra-quarter where the target company is a member of the FTSE Russell Universe. Therefore,
FTSE/JSE intend to increase the shares in issue of Capital & Counties Properties on the effective date of
the event, Monday 06 March 2023. Concurrently, an investability weight decrease will be applied to
maintain an unchanged number of index shares, and overall the event will be market capitalisation
neutral.
The free float will be updated to reflect the South African share register information at the June 2023
review.
