EXTENSION OF THE DATE TO DISSEMINATE A CIRCULAR TO AEEI SHAREHOLDERS
REGARDING THE SUBSCRIPTION OF SHARES BY AYO IN BOWWOOD


1. Introduction

    Shareholders are referred to the announcements released on SENS on 1 June 2020 (Terms
    Announcement) and 11 August (“Update Announcement”) and using the definitions therein were
    advised that the Transaction was subsequently classified as a category 2 related party transaction
    requiring approval from Shareholders prior to its implementation which requires a dispatch of a
    circular (“Circular”) to Shareholders.


2. Update on the circular to be issued to Shareholders’

    As per paragraph 10.9 of the Listing Requirements of JSE Limited (“Listings requirements”)
    AEEI is required to dispatch the Circular within 60 days of the publication of the Terms
    Announcement.


    Shareholders are hereby advised that, as a result of the reclassification of the Transaction, AEEI
    approached the JSE for an extension to the 60-day rule contained in paragraph 10.9 of the Listings
    Requirements for the posting date of the Circular.


    The JSE has afforded the above dispensation as per AEEI’s request to post the Circular to
    Shareholders by 30 September 2020.
