DBSA BOARD COMMITTEE CHANGES AND CONFIRMATION OF APPOINTMENT OF SHAREHOLDER REPRESENTATIVE

Annual General Meeting-related appointments
Following the previous SENS announcement dated 14 December 2022 in relation to the appointment of new
directors, noteholders are further advised that following the annual general meeting of DBSA held on 10
March 2023 (“AGM”), the shareholder of DBSA voted that:


Audit and Risk Committee
Ms. Dinao Lerutla be appointed as a member of the Board Audit and Risk Committee. As a result, Dr. Gaby
Magomola and Ms. Pinkie Nqeto will no longer be members of the Audit and Risk Committee. There are no
other changes to the membership and chairpersonship of the Audit and Risk Committee.


Further to the above changes, noteholders are also advised that at the AGM held on 10 March 2023, Mr.
Kenneth Brown was confirmed as the Shareholder Representative.


The Board remains properly constituted in terms of the DBSA Act (13 of 1997, as amended) and can continue
to perform and exercise its fiduciary obligations effectively. These allocations are imperative in driving the
strategy of the Bank and the new members bring on board the necessary skills and extensive experience in
various areas of leadership, banking, credit, infrastructure funding, legal and business. The DBSA company
