ANNOUNCEMENT                                                           14 December 2021

BOARD CHANGES

MC Mining Limited (“MC Mining” or the “Company”) is pleased to announce changes to its Board of
Directors with immediate effect.


Retirement of Non-Executive Director
Mr Shangren Ding, a long-standing non-executive director of MC Mining, decided not to avail himself
for re-election at the Company’s Annual General Meeting (“AGM”) held earlier today. As a result, Mr
Ding retired as a director of the Company effective at the conclusion of today’s AGM. Mr Ding has
been a director of the Company since October 2016 and contributed to the Company being positioned
to become South Africa’s pre-eminent hard coking coal producer once the necessary Makhado hard
coking coal project funding is secured, anticipated in H1 CY2022. Mr Ding was the representative of
Haohua Energy International (Hong Kong) Co. Ltd (“HEI”), MC Mining’s largest shareholder.


Appointment of Non-Executive Director
Mr Junchao Liu was appointed as a non-executive director of the Company at today’s AGM. Mr Liu has
a Bachelor of Arts and postgraduate training in international finance and trade from Beijing Foreign
Studies University. He is the Deputy Director of Business Development of Beijing Haohua Energy
Resource Company and Deputy General Manager of HEI. Mr Liu, by invitation, has regularly attended
past board meetings of the Company and is very familiar with the Company’s activities. He replaces
Mr Ding as HEI’s representative on the MC Mining board of directors.
