RENEWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcement released on SENS on 4 April 2023 and to the
subsequent renewal of cautionary announcement released on SENS on 18 May 2023 (and using the terms
defined therein unless otherwise specified), regarding the Company’s engagement with the JSE in respect
of the implementation of certain terms of the Settlement Agreement pertaining to the Further
Repurchase and proposed amendments to the MOI.
As AYO is committed to fully complying with the JSE Listings Requirements and to upholding the
substance of the terms of the Settlement Agreement, the Company will continue to engage with the JSE
and the PIC in respect thereof.
Accordingly, shareholders are advised to continue to exercise caution when dealing in the Company’s
securities until such time that the Company, following further consultation with the JSE, publishes a
further announcement regarding the most effective process to be followed in respect of the
aforementioned.
