RESULTS OF THE SECTION 60 NOTICE POSTED TO SHAREHOLDERS ON 11 NOVEMBER 2015

1.    Introduction

      Holders of ordinary shares in Keaton (“shareholders”) are referred to the announcement
      released on 11 November 2015 regarding the section 60 notice in respect of the proposed
      special resolution relating to section 45 of the Companies Act, 71 of 2008 (“Companies Act”), to
      be considered and voted on by shareholders in writing (“the Notice”).

      Shareholders are hereby advised that the special resolution contained in the Notice was passed
      by the requisite 75% majority of votes of shareholders.

2.    Results of voting in terms of the Notice

      Details of the results of the voting in terms of the Notice were as follows:
