Appointment of Director

Further to the announcement released on SENS on 28 October 2025 relating to changes to the Eskom
board of directors, noteholders are advised that Ms Thandeka Zondi-Mthembu, has been appointed
as one of the independent non-executive directors of Eskom with effect from 05 December 2025. Ms
Zondi-Mthembu is an accomplished Chartered Accountant with over 16 years' experience in driving
financial innovation, strategic leadership, and digital transformation across multiple sectors, including
short-term insurance, retirement funds, ICT and investment management. Her extensive board
experience includes chairing audit and risk committees and leading governance and oversight for
prominent institutions, where she strategically advances organisational resilience and regulatory
compliance.

Ms Zondi-Mthembu's appointment was done in alignment with the provisions of the Eskom
memorandum of incorporation. Eskom welcomes the appointment of Ms. Zondi-Mthembu.
