UPDATE ON CHANGES TO THE BOARD OF CAPRICORN GROUP LIMITED AND BANK
WINDHOEK

Further to the announcement published on 15 November 2024, noteholders are advised of the
following update:

Following a detailed governance review, the board of Capricorn Group Limited ("Capricorn Group")
has requested Ms Erna Solomon to reconsider her resignation as an independent non-executive
director of Capricorn Group. Ms Solomon has agreed to withdraw her resignation and will continue
serving as an independent non-executive director on the boards of both Capricorn Group and Bank
Windhoek.

The board of Capricorn Group expresses its gratitude to Ms Solomon for her willingness to continue
contributing her expertise and leadership on these boards.
