LATE SUBMISSION OF PROVISIONAL ANNUAL FINANCIAL STATEMENTS ("PROVISIONAL REPORT")
The Johannesburg Stock Exchange (“JSE”) refers to the announcement issued by the JSE on 17
January 2022 in which the JSE advised that, if the Company fails to submit its Provisional Report on
or before 31 January 2022, then its listing may be suspended.
The Company did not submit its Provisional Report on or before 31 January 2022. In these
circumstances the JSE was obliged to, and did follow, the prescribed procedures in dealing with an
Issuer’s failure to submit its Provisional Report timeously. In terms of the provisions of the Listings
Requirements and the Financial Markets Act, the JSE informed the Company that the continued
listing of its securities was under threat of suspension and afforded the Company with an
opportunity to show cause as to why the suspension should not be effected.
The Company made comprehensive and detailed submissions to the JSE and it also provided the JSE
with all the information that will or could influence the JSE’s deliberations in respect of the
continued listing of the Company’s securities. Further, the JSE has been in regular contact with the
Company’s sponsor, auditor and ENS Africa Forensics to ensure that it is fully apprised of all the
relevant facts and circumstances in respect of the delay of the publication of the Company’s
Provisional Report.
After careful consideration of all the relevant facts and information at its disposal, the JSE has
decided to instruct the Company to release a further announcement to ensure that comprehensive
and detailed disclosure of all relevant facts are made, that these facts are in the public domain and
that the public and shareholders are informed of the salient facts and current position in respect of
the proposed timing of the publication of the Provisional Report.
The Company has published the announcement in accordance with the JSE’s instruction and it has
confirmed after consultation with its auditors, that the Provisional Report will be published by 9
March 2022. The announcement also includes a reference to a detailed summary of the findings of
the ENS forensic investigation.
The JSE has carefully considered all the facts and information at its disposal including the Company’s
detailed submissions and the contents of the announcement published today. The JSE has decided
not to proceed with the suspension of the listing of the Company’s securities. The JSE will continue
to monitor the Company’s compliance with the Listings Requirements and its undertaking to publish
its Provisional Report on or before 9 March 2022. The JSE will re-assess the continued listing of the
Company’s securities should the Company fail to publish its Provisional Report by 9 March 2022.
