PUBLICATION OF 2019 ANNUAL FINANCIAL STATEMENTS OF MTNH

Noteholders are advised that the company and group Annual Financial Statements of MTNH, and its
guarantor MTN Group Limited (“MTN Group”) for the year ended 31 December 2019 (“the AFS”) have
been published on the website of MTN Group. SizweNtsalubaGobodo Grant Thornton Inc. have
expressed an unqualified audit opinion on the MTNH company and group Annual Financial
Statements.

MTNH has adopted IFRS 16 Leases (“IFRS 16”) and IFRIC 23 Uncertainty over Income Tax Treatments
(“IFRIC 23”) as well as the related IFRIC agenda decision on the presentation of liabilities or assets
related to uncertain tax treatments. In addition, MTNH voluntarily changed its accounting policy with
regards to Mobile Money deposits and payables which resulted in presenting the Mobile Money
deposits with banks and corresponding Mobile Money payables on the MTNH statement of financial
position. The revised policy on Mobile Money balances will provide a more consistent treatment
across MTNH’s markets and provide more meaningful information about the Mobile Money business.

IFRS 16 has been applied retrospectively from 1 January 2019 but comparative numbers have not been
restated. This change on adoption of IFRIC 23, the related IFRIC agenda decision and the voluntary
change in accounting policy with regards to Mobile Money deposits and payables have been
accounted for retrospectively and comparative information has been restated.
