Redemption of SBK 9 Tier II Capital Notes
On 10 April 2006, The Standard Bank of South Africa Limited
(“Standard Bank”) issued ZAR 1,500,000,000 Subordinated Unsecured
Notes which qualified as Tier II capital (the “SBK 9 Notes”).
The SBK 9 Notes are subject to the terms and conditions contained
in the Programme Memorandum dated 20 October 2005 (the “Programme
Memorandum”) as read together with the Applicable Pricing
Supplement issued in respect of the SBK 9 Notes dated 5 April 2006
(the “Applicable Pricing Supplement”).
In terms of the Applicable Pricing Supplement, the SBK 9 Notes
mature on 10 April 2023, however, they are redeemable at the option
of Standard Bank on 10 April 2018, subject to the prior written
approval of the Registrar of Banks.
Pursuant to Condition 47(a) of the Applicable Pricing Supplement
and after having obtained the requisite prior written approval
from the Registrar of Banks, Standard Bank hereby gives notice
that it shall redeem the SBK 9 Notes on 10 April 2018 at 100% of
the principal amount thereof, together with any interest accrued
thereon up until that date.
