CHANGES TO THE BOARD OF DIRECTORS AND BOARD COMMITTEES

In compliance with paragraph 6.71 of the JSE Limited Listings Requirements, the Board of Directors of
Nutun Limited (“Board”) hereby notifies shareholders of the following changes to the Board and its
committees.

Resignation of Sharon Wapnick

Sharon Wapnick will resign as a director of the Company and as Chairperson of the Remuneration and
Nominations Committee with effect from 30 September 2026.

The Board extends its sincere appreciation to Sharon for her valuable contribution to Nutun during her
tenure and wishes her well for the future.

Changes to Board Committee Chairpersons

Suresh Kana, currently the Lead Independent Director and a member of the Remuneration and
Nominations Committee, will assume the role of Chairperson of the Remuneration and Nominations
Committee with effect from 1 October 2026.

With effect from the same date, Suresh will step down as Chairperson of the Social and Ethics Committee,
while continuing to serve as a member of that Committee.

Megandra Naidoo, currently a member of the Social and Ethics Committee, will assume the role of
Chairperson of the Social and Ethics Committee with effect from 1 October 2026.

These changes ensure continuity in the leadership of the Board committees.

Appointment of an additional independent non-executive director
The Board has commenced a process to identify and appoint an additional independent non-executive
director. Shareholders will be advised by way of a further announcement once the appointment has been
made.
