DIRECTOR RETIRING BY ROTATION

In terms of paragraph 3.59 of the JSE Limited Listings
Requirements the Board of Directors (“the Board”) informs
shareholders that Ms Neo Phakama Dongwana will not stand for re-
election and will be retiring by rotation at the Annual General
Meeting of the Company to be held on 1 June 2023, having served on
the Board since Mpact listed in 2011.

Ms Dongwana will simultaneously retire as a non-executive director
of Mpact Operations (Pty) Ltd and as the Chair of the Mpact
Foundation Trust. Accordingly, Ms Dongwana will cease to be a
member of the Audit and Risk Committee and the Social and Ethics
Committee of both the Company and of Mpact Operations (Pty) Ltd.

The Board would like to thank Ms Dongwana for her invaluable
contribution and wishes her well in her future endeavours.
