AVAILABILITY OF THE ANNUAL FINANCIAL STATEMENTS OF THE ISSUER
Noteholders are advised that the annual financial statements of the Issuer for the year ended 31 March 2023
(the “financial statements” and “FY2023” respectively) are available for inspection at the Issuer’s registered
office.
The financial statements have also been made available on the Issuer’s website at:
https://www.toyota.co.za/financial-services/corporate-affairs.
Noteholders are also advised that the audit report on the financial statements was unqualified with no
modifications applicable.
Noteholders are advised that the Issuer has restated the Statement of Financial Position (“SOFP”) to one
presented on an order of liquidity basis.
Noteholders are further advised that, subsequent to the trading update announcement released on the Stock
Exchange News Service of the JSE Limited, by the Issuer on 15 June 2023 (“Trading Update”), the operating
profit before tax achieved for FY2023 was R546 million. This is within the guidance provided in the Trading
Update.
AVAILABILITY OF THE ANNUAL FINANCIAL STATEMENTS OF THE GUARANTOR
Noteholders are advised that the annual financial statements of Toyota Motor Finance (Netherlands) B.V.,
being the guarantor to the Issuer’s ZAR 10 000 000 000 Domestic Medium Term Note Programme, for the year
ended 31 March 2023 (the “Guarantor’s financial statements”) is expected to be made available for inspection
at the Issuer’s registered office and on the Issuer’s website at: https://www.toyota.co.za/financial-
services/corporate-affairs on 31 July 2023. A further announcement will be made once the Guarantor’s
financial statements are available.
UPDATE TO INFORMATION INCORPORATED BY REFERENCE
Noteholders are advised that pursuant to paragraphs 4.21 and 6.55 of the JSE Debt Listings Requirements, the
updated King IV application statement, incorporated by reference in the Issuer’s ZAR 10 000 000 000 Domestic
Medium Term Note Programme dated 28 October 2022 (the “King IV report”), has been updated.
The King IV report is available for inspection at the registered office of the Issuer and on Toyota Financial
