NOTIFICATION OF THE VOTING RESULTS IN RESPECT OF WRITTEN RESOLUTION
Noteholders are referred to the notice of request for written consent released on SENS on 12 March 2020, with the deadline date being 17h00 on 9 April 2020 (the
“Noteholders Written Resolution”) at which the Extraordinary Resolutions set out below were considered.
Extraordinary resolution No. 1:
1.1.1 That the Noteholders of all Notes Outstanding consent to the Issuer amending and restating the Terms and Conditions of the Programme, as contained in
the Amended and Restated Programme Memorandum in its entirety, which will apply to all Notes issued under the Programme and will in respect of such
Notes, supersede and replace the Terms and Conditions of the Programme Memorandum in its entirety; and
1.1.2 That subject to the passing of Extraordinary Resolution 1.1.1 above, any consequential changes to the Applicable Pricing Supplement(s) of all Notes
Outstanding.
In this regard, the Issuer confirms the voting results from the Noteholders Written Resolution, in relation to the total nominal amount of all debt securities issued by the
Issuer, is as follows:
