AVU - Avusa Limited - Renewal of cautionary announcement Avusa Limited (Incorporated in the Republic of South Africa) (Registration number 2008/002461/06) JSE share code: AVU ISIN: ZAE000115895 ("Avusa") RENEWAL OF CAUTIONARY ANNOUNCEMENT Shareholders are referred to the cautionary announcements dated 14 June and 26 July 2010 ("the Announcements") containing details of the proposed acquisition by Avusa of the entire issued share capitals of Universal Print Group (Proprietary) Limited ("UPG") and Hirt & Carter (Proprietary) Limited ("H&C") from UHC Communications (Proprietary) Limited ("UHC"), as well as any claims that UHC may have against UPG and H&C ("the Transaction"). The Announcements contained details of the suspensive conditions which require fulfilment or waiver in order for the Transaction to be implemented. The suspensive conditions included, inter alia, the conclusion, to the satisfaction of Avusa, of a due diligence investigation in relation to UPG and H&C, approval by the relevant competition authorities for the implementation of the Transaction and the conclusion of a formal agreement to give effect to the Transaction. The due diligence investigation has been finalised to the satisfaction of Avusa, and the Competition Commission of South Africa has approved the Transaction, with no conditions attached. The formal agreement to give effect to the Transaction is in the process of being finalised. As the formal agreement has not yet been concluded and as the pro forma financial effects of the Transaction have not yet been announced, shareholders are advised to continue to exercise caution when dealing in their Avusa shares until a further announcement is made.
