FINALISATION ANNOUNCEMENT – DILUTION OF INVESTMENT IN PRESCIENT

Shareholders are referred to the announcement published on
SENS on 26 July 2018 wherein they were advised that a binding
term sheet had been concluded which, through a series of
transactions,   would   strengthen   Prescient’s  empowerment
credentials with Prescient Empowerment Trust (Pty) Ltd
ultimately becoming the controlling Shareholder of Prescient
and a dilution of Stellar Capital’s effective investment in
Prescient from 49% to 19.4% (“Transactions”).

Stellar Capital is pleased to announce that the last of the
Conditions Precedent have now been fulfilled and accordingly
the Transactions are unconditional. We expect the Transactions
to be implemented by the end of this week.
