Guarantor’s delisting Update

Noteholders are referred to the guarantor, being Liberty
Holdings Limited’s finalisation announcement on the 7th February
2022 wherein it was confirmed that the Ordinary Scheme has
become unconditional with effect from Monday, 7 February 2022,
the Ordinary Scheme will be implemented on Monday, 28 February
2022 and that, in accordance with the Ordinary Scheme, the
listing of Liberty Holdings Shares will be terminated at the
commencement of trade on the JSE on Tuesday, 1 March 2022 (the
“Delisting”).

Accordingly, as a result of the Delisting occurring before the
anticipated date of publication of Liberty’s results for the
year ended 31 December 2021 on SENS, shareholders of Liberty
Holdings are advised that Liberty Holdings will not be
publishing its financial results presentation on SENS or
notifying shareholders of the availability of its Annual
Financial Statements and integrated report on SENS. The Liberty
Holdings results will be incorporated in the Standard Bank Group
Limited results due to be published on SENS on 11 March 2022.

Notwithstanding the above, Liberty Group Limited, the Interest
Rate Market Issuer, will release its Annual Financial Statements
and all accompanying obligations will not be affected by the
delisting of Liberty Holdings Limited and will continue to
conform with the reporting timelines stipulated in the debt
listings requirements.

announcement bear the meanings ascribed to them in the Circular distributed to Liberty Shareholders on
Monday, 13 September 2021.
