Project Focus – Re-alignment of the Daimler AG Group

On 1 October 2021, the shareholders of Daimler AG decided by an overwhelming majority on the historic
realignment of the company. The spin-off of the truck and bus business and the subsequent listing of
Daimler Truck AG as an independent company on the Frankfurt Stock Exchange were approved by 99.90%
of the capital stock represented for the resolution. Shareholders also approved the renaming of Daimler
AG to Mercedes-Benz Group AG as of 1 February 2022.

As part of a more focused corporate structure Daimler Truck AG will also be supported by a dedicated
captive financial and mobility service entity known as Daimler Truck Financial Services (DFS). DFS will drive
sales with tailor-made financing, provide leasing and mobility solutions, increase retention and building
customer loyalty to the brands through long-term customer contact and enable the financial success of
Daimler Truck AG.

In South Africa, the planned separation of the commercial vehicle business, under Daimler Trucks and
Buses Southern Africa (Pty) Ltd (DTBSA) from Mercedes-Benz South Africa Limited has already been
implemented. On 1 December 2021, Mercedes Benz Financial Services South Africa (Pty) Ltd sold its
commercial vehicles book to a newly established subsidiary of DTBSA, Daimler Truck Financial Services
South Africa (Pty) Ltd.
