Cautionary Renewal Announcement

JOHN DANIEL HOLDINGS LIMITED
Incorporated in the Republic of South Africa
Registration number: 1998/013215/06
JSE Code: JDH - ISIN: ZAE000136677
("the Company" or "JDH" or "the Group")

RENEWAL OF CAUTIONARY ANNOUNCEMENT

Further to the cautionary announcements released on SENS on
12 July 2012, 24 August 2012, 8 October 2012, 19 November 2012
and the detailed cautionary dated 14 December 2012 and renewal
on 31 January 2013 and 14 March 2013 shareholders are advised
that solid progress has been made following Escalator’s decision
to complete its audit for the 10 month period ended 31 December
2012 before finalising its negotiations with JDH. This decision
has been taken due to the intention to apply for the transfer of
the listing to the Main Board of the JSE pursuant to the reverse
listing. To this end, Escalator has appointed a JSE registered
auditor to audit its results for the 10 month period ended
31 December 2012 as well as review the historical results for
any potential restatement to ensure full compliance with IFRS
for the two prior years ended 29 February 2012 and 28 February
2011 respectively.

Accordingly, shareholders are advised that negotiations are
ongoing and shareholders are accordingly advised to continue to
exercise caution in dealing in the company’s securities until a
further announcement is made.
