CHANGES TO THE BOARD – CHANGE IN FUNCTION AND APPOINTMENT OF DIRECTOR


Shareholders are referred to the announcement released on SENS on 17 March 2023 wherein they
were advised, inter alia, that following the recent changes to the board of directors of Novus Holdings
(“the Board”) and the acquisition of Maskew Miller Learning Proprietary Limited (“MML”), the Board
was in process of reviewing the leadership structure of the Group.

Accordingly, in compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the
Board hereby notifies shareholders of the following changes:

-   The Board is pleased to announce that Ms Keshree Alwar, the Group Chief Financial Officer, has
    been promoted to Chief Executive Officer of MML with effect from 1 August 2023. Accordingly,
    Keshree will resign from her current role as the Group Chief Financial Officer on 31 July 2023.

    Keshree has served on the Board since 2018 and will retain her role of Executive Director of the
    Company. Keshree has played an integral role in the acquisition of MML and has worked closely
    with former Group Chief Executive Officer, Mr Neil Birch, in integrating MML into the Group. Her
    key priorities for MML are the development of tailored educational products for the South African
    and African market, and the integration of technology into MML’s vast content repository to
    enable bespoke products at student and teacher level.

-   Mr Craig Wright has been appointed as the Group Chief Financial Officer and Executive Director
    of the Company, with effect from 1 August 2023.

    Craig is a qualified chartered accountant and has been with the Group since 2007. He currently
    holds the position of Novus Print Executive: Finance and is a director on the board of Novus
    Holdings’ subsidiary, Novus Print Proprietary Limited.

The Board looks forward to the contributions to be made by both Keshree and Craig in their new roles.
