TRANSNET SOC LIMITED’S STATEMENT ON LOANS POLICY WITH RELATED
PARTIES, DOMESTIC PROMINENT INFLUENTIAL PERSONS AND PRESCRIBED
OFFICERS IN TERMS OF SECTION 7.15 OF THE JSE DEBT LISTINGS
REQUIREMENTS

Transnet is not a financial services provider and as such is not in the business of lending in
the ordinary course of its business. Transnet will not lend to Domestic Prominent Influential
Persons (DPIPs), Prescribed Officers and Related Parties as defined in the JSE Limited (JSE)
Debt Listings Requirements (DLRs).

Transnet in the furtherance of its mandate and strategic objectives could enter into related
transactions that are beyond the scope of the JSE DLRs definition for related parties (e.g.
Subsidiary, Joint Venture, and Investment in Associates etc.).

Accordingly, Transnet currently does not have a Lending Policy and considers that the issuing
of this announcement confirming Transnet’s position in this regard is sufficient. Furthermore,
on an annual basis, Transnet will issue a negative statement indicating that it has not
provided loans to any DPIPs, Prescribed Officers and Related Parties.
